Terms of Service

1. Acceptance of Terms

By accessing or using the Async Agency CFO website, dashboards, reports, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. The Service

Async Agency CFO provides asynchronous financial analytics, reporting, and intelligence services to independent insurance agencies. We are an analytics and technology provider. We are not an insurance company, insurance agency, broker, agent, third-party administrator, or licensed public accounting firm.

Our Service analyzes financial and operational data you provide (including profit & loss statements, carrier data, and commission data) and produces analytical reports and insights. We do not sell, solicit, or bind insurance coverage, and we do not administer claims or premium funds.

3. Not Professional or Financial Advice

All reports, analyses, dashboards, and communications provided through the Service are analytical tools for informational purposes only. They do not constitute professional financial advice, accounting services, tax advice, legal advice, insurance advice, or any other professional advice.

You are solely responsible for all business decisions you make based on the Service. You should consult qualified professionals (e.g., your CPA, attorney, or licensed insurance professional) before acting on any information provided by the Service. Async Agency CFO is not a fiduciary and owes you no fiduciary duties.

4. Your Responsibilities & Compliance

• You are responsible for your own regulatory compliance, including any state insurance department requirements applicable to your agency.
• You are responsible for the accuracy and completeness of the data you provide to the Service.
• You must not use the Service for any unlawful purpose or in violation of applicable laws.
• You must not attempt to access, tamper with, or interfere with the Service, other users' data, or our systems.

5. Accounts & Data

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You retain ownership of the data you provide. You grant us a limited license to process, store, and analyze that data solely to provide the Service to you, in accordance with our Privacy Policy.

6. AI-Generated Content Disclaimer

Reports and analyses may be generated with the assistance of artificial intelligence. AI-generated output may contain errors, omissions, or inaccuracies. You should independently verify any material information before relying on it. AI-generated content does not constitute professional advice.

7. Fees & Payment

Subscription fees, if any, are as described at the time of signup. Fees are non-refundable except as required by law. We may update pricing with reasonable advance notice. Late or failed payments may result in suspension of access to paid features.

8. Intellectual Property

The Service, including its software, design, branding, templates, and content (other than data you provide), is owned by Async Agency CFO and its licensors. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASYNC AGENCY CFO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service for violation of these Terms, conduct we reasonably believe is harmful, or as required by law. Sections that by their nature should survive termination (including Sections 3, 6, 9, 10, 12, and 13) will survive.

12. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in North Carolina, and you consent to the exclusive jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will post revised Terms on this page with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
